Terms of Service

These terms govern your use of SOLARI (the "Service"), provided by Inedit Corp. ("we", "us"). By using the Service you agree to these terms.

This page is a reference translation. The Japanese version is the authoritative text; if the two differ, the Japanese version governs.

1. Scope

These terms apply to every use of the Service, which includes the SOLARI CLI, the MCP server, the REST API, and the web screens we provide.

Paid plans are additionally governed by the Legal Notice under Japan's Specified Commercial Transactions Act (https://solari.sh/legal/tokusho) and by the terms shown at checkout. Where they differ from these terms, the Legal Notice governs.

2. Accounts

Using the Service requires an account. You agree to keep your registration details accurate and current.

You are responsible for your account, API keys, and access tokens. Anything done with your account or credentials is treated as done by you.

Tell us immediately if you learn that your credentials have leaked or been used without your permission.

3. Plans and credits

Prices and the credits included in each plan are listed at https://solari.sh/pricing.

  • Use of the Service is metered in credits. One tool call consumes one credit.
  • Credits are granted at the start of each billing period and expire at the end of that period. Unused credits do not carry over. If a renewal payment is late, the previous period's credits stay usable for up to 3 more days.
  • When credits run out you can buy a top-up, upgrade to a higher plan, or start a new billing period on the same plan, to continue.
  • Top-up credits can be bought only while you are on an active paid plan. A pack is priced at its credit count times the per-credit rate of the plan you are on at the time of purchase.
  • Top-up credits are valid for 12 months from the purchase date. Credits are always consumed in order of expiry, so credits that expire sooner are used first. Top-up credits you have bought remain usable until they expire, including after you cancel.
  • A new account with a verified email address can start one free trial of 30 days and 5,000 credits when card setup is completed. Card setup does not charge the card or create an automatic paid subscription. The card issuer may request an additional verification step when needed.
  • Credits are not money. They cannot be exchanged for cash, transferred, or refunded.

4. Payment and tax

All prices are in US dollars. Payments are processed by Stripe, and we never hold your card number.

The first period is charged when you subscribe, and every following period is charged automatically on the same day of each month. An upgrade or a same-plan renewal charges the full plan price at that moment, and that day becomes the new billing date. A downgrade takes effect from the next billing date.

A top-up is a one-time purchase. It is charged in full at the moment you buy it and does not create a recurring charge.

Consumption tax and other applicable taxes are added at checkout as required by law. If a renewal payment fails, the previous period's credits stay usable during a 3-day grace window, after which we may suspend the Service until payment completes.

5. Cancellation and refunds

You can cancel at any time from the billing screen of your account (https://solari.brandazine.com/me/billing) using "Manage payment & cancellation". After cancelling, you are not charged from the next billing date onward, and until that date "Keep my plan" on the same screen undoes the scheduled cancellation.

Because this is a digital service, payments are non-refundable once completed. Credits already granted stay usable until they expire, and unused credits are not refunded.

A top-up is likewise non-refundable once payment completes. Used credits are never refunded, and how any unused portion is handled is decided at our discretion on request.

If the Service has a material defect, contact us and we will address it individually.

6. Acceptable use

When using the Service, you must not:

  • break the law or use the Service for purposes contrary to public order and morals;
  • circumvent, or try to circumvent, credit metering, usage limits, or authentication;
  • place a load on the Service that interferes with its operation;
  • copy, modify, reverse engineer, resell, or redistribute the Service without our permission;
  • use the data you obtain in a way that breaks the terms of the platform it came from, or applicable law;
  • infringe anyone's rights, including intellectual property, privacy, and reputation;
  • use the Service to surveil, harass, or discriminate against individuals.

7. Data and third-party content

The Service collects and organises information published on third-party platforms. We do not warrant that this information is accurate, complete, current, or fit for any particular purpose.

You are responsible for complying with the terms of those platforms and with applicable law — including data protection, copyright, and competition law — when you use the data you obtain.

Data you send to the Service is handled according to our Privacy Policy.

8. Changes, interruption, and suspension

We may change the Service or stop providing it. We will give reasonable advance notice of changes that materially affect a paid plan.

The Service may be interrupted in whole or in part for maintenance, incidents, or outages of the services we depend on.

If you breach these terms or a payment is not made, we may suspend your account or terminate these terms without prior notice.

9. Intellectual property

The Service and its software, documentation, and trademarks belong to us or to their rightful owners. These terms grant only a non-exclusive, non-transferable right to use the Service in accordance with them.

Rights in the data you send to the Service stay with you or its rightful owner. We use that data only as needed to provide and maintain the Service and to prevent abuse.

10. Disclaimer and limitation of liability

The Service is provided as is. We do not warrant that it will be uninterrupted or error-free, or that it fits a particular purpose.

Our total liability to you, on any basis, is limited to the fees you paid us for the Service in the twelve months before the loss arose, and we are not liable for lost profits or special damages.

These limits do not apply to our wilful misconduct or gross negligence, or where they are not permitted by the Consumer Contract Act or other mandatory law.

11. Personal information

Personal information is handled as described in our Privacy Policy (https://solari.sh/privacy).

12. Changes to these terms

We may change these terms. A change takes effect when it is posted on this page, and the revision date shown here is updated at the same time.

For changes that materially affect you, we will also give advance notice by email to your registered address or by a notice in the Service. Continuing to use the Service after a change means you accept it.

13. Governing law and jurisdiction

These terms are governed by the laws of Japan.

The Tokyo District Court has exclusive jurisdiction as the court of first instance over any dispute arising from the Service.
